TIL Limited acquired the Gainwell Group.

“Indcap acted as Advisor to TIL Limited in relation to its One-Time Settlement (OTS) with consortium lenders, which facilitated and supported the successful acquisition of the Company by the Gainwell Group. Scope of Engagement:

– Conducted a comprehensive review and refinement of the Company’s business plan and financial projections.
– Structured and advised on the One-Time Settlement (OTS) framework in alignment with the proposed acquisition transaction.
– Designed the OTS proposal in close consultation with the existing promoters and the incoming strategic investor.
– Led negotiations with consortium/JLF member banks to secure consensus on the proposed settlement terms.
– Represented the Company’s management before the consortium lenders to drive alignment and ensure timely approvals.
– Prepared detailed information memoranda, financial models, and presentations for submission and discussion with lenders.
– Spearheaded execution, implementation, and successful closure of the OTS process.
– Advised on overall transaction structuring in conjunction with the OTS framework.
